NOTICE UNDER SECTIONS 708A(5)(E) OF THE CORPORATIONS ACT 2001 (CTH)

This notice is given by Seven Group Holdings Limited (ASX: SVW) (“SGH”) under section 708A(5)(e) of the Corporations Act 2001 (Cth) (“the Act”).

SGH has today issued 22,222,222 fully paid ordinary shares (“New Shares”) pursuant to the placement announced on 19 April 2021.

SGH confirms that:

1. SGH issued the New Shares without disclosure to investors under Part 6D.2 of the Act;

2. this notice is given under section 708A(5)(e) of the Act;

3. as a disclosing entity, SGH is subject to regular reporting and disclosure obligations;

4. as at the date of this notice, SGH has complied with:

5. the provisions of Chapter 2M of the Act as they apply to SGH; and

6. section 674 of the Act; and

7. as at the date of this notice, there is no information that is ‘excluded information’ within the meaning of sections 708A(7) and 708A(8) of the Act that is required to be set out in this notice under section 708A(6)(e) of the Act.
