Item 2.02. Results of Operations and Financial Conditions.

On July 30, 2021, Sezzle Inc. (the “Company) made certain required disclosures with the Australian Securities Exchange (the “ASX”) reporting on certain financial and operating results for the three and six month periods ended June 30, 2021 (the “Appendix 4C Report”). A copy of the Appendix 4C Report is furnished as Exhibit 99.1 and is incorporated herein by reference.

The financial information included in the Appendix 4C Report is subject to the completion of the Company’s customary quarter-end financial closing procedures, including management’s review and finalization of its unaudited financial statements for three and six month period ended June 30, 2021, as well as review procedures by the Company’s independent registered public accounting firm of such unaudited financial statements, which have not yet been completed. Therefore, the financial information included in the Appendix 4C Report should not be viewed as a substitute for the Company’s Quarterly Report on Form 10-Q for the quarter ended June 30, 2021.
