Severn Trent Annual Bonus Scheme - 2015 Deferred Share Awards

On 29 June 2015 Severn Trent Plc (the "Company") granted deferred share awards totalling 29,555 Ordinary Shares of 97 17/19 pence each ("Ordinary Shares") in the Company, as procured by the Remuneration Committee on 20 May 2015 under the terms of the Severn Trent Annual Bonus Scheme, in respect of the year ended 31 March 2015, including 28,952 Ordinary Shares to the Directors and Persons Discharging Managerial Responsibilities ("PDMR") of the Company as set out below (the "PDMR Awards").  The Ordinary Shares will vest on the third anniversary of grant subject to continued employment.

The grant of the PDMR Awards was notified to the Company by the PDMRs set out above on 30 June 2015 pursuant to Disclosure Rule 3.1.2R of the Disclosure and Transparency Rules.

Severn Trent Annual Bonus Scheme - 2012 Deferred Share Release

The independent Trustee of the Severn Trent Plc Employee Share Ownership Trust (the "Trust") notified the Company on 29 June 2015 that it had on 29 June 2015 transferred the beneficial interest in a total of 18,233 Ordinary Shares of 9717/19p each in the Company (the "Shares") for nil consideration to participants in the Annual Bonus Scheme (the "ABS"), including 17,444 Shares to Directors and Persons Discharging Managerial Responsibilities (PDMRs) of the Company as indicated below (the "PDMR Shares"), pursuant to awards made under the ABS in 2012.

PDMRs are potential beneficiaries under the Trust and, therefore, (except as disclosed below) their interests in shares held by the Trust ceased on such transfer.

The transfer of the beneficial interest in the PDMR Shares by the Trustee to the participants shown in the preceding table and the subsequent sale of such Shares (as disclosed above) was notified to the Company by all of the persons identified in the preceding table on 30 June 2015 pursuant to Disclosure Rule 3.1.2R of the Disclosure and Transparency Rules.
