We wish to inform you that pursuant to Regulation 29(1)(d) of SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015, a meeting of the Board of Directors (“ Board ”) of Setco Automotive Limited (“ Company ”) is scheduled to be held on Saturday, April 24, 2021 inter alia to consider a proposal for raising of funds by way of issuance of secured, listed or unlisted non-convertible debentures to any financial institution, alternative investment fund, other body corporates and/or any other entities or persons etc. on a private placement basis.

The Board would also consider convening an extra-ordinary general meeting to seek approval of the shareholders in respect of the aforesaid proposal of fund raising by way of issuance of non-convertible debentures by the Company, as required.
