PUBBLICAZIONE DOCUMENTI PROPEDEUTICI PER L'ASSEMBLEA DEGLI AZIONISTI DEL 26 AGOSTO 2021

Empoli, 27 luglio 2021

Sesa S.p.A. rende noto – con riferimento all'Assemblea degli azionisti convocata per il giorno 26 agosto 2021 in prima convocazione ed, occorrendo, in seconda convocazione per il giorno 27 agosto 2021 – che risulta pubblicata la seguente documentazione, ai sensi di legge e di regolamento, sul sito internet della società www.sesa.it (sezione "Investor Relations" – "Assemblee") e sul meccanismo di stoccaggio autorizzato all'indirizzo :

• il progetto di bilancio di esercizio ed il bilancio consolidato al 30 aprile 2021 approvati dal Consiglio di Amministrazione di Sesa S.p.A., corredati dalla relazione sulla gestione nonché dalla Relazione sul Governo Societario e gli Assetti Proprietari ai sensi dell'art. 123-bis del TUF;

• l'attestazione del Dirigente Preposto alla redazione dei documenti contabili societari ai sensi dell'art. 154-bis del TUF;

• la Relazione del Collegio Sindacale ai sensi dell'art. 153 del TUF e la relazione della Società di Revisione;

• la Relazione sulla Politica in materia di Remunerazione e sui Compensi Corrisposti, redatta ai sensi dell'art. 123-ter del d. lgs. 58/1998;

• la Dichiarazione Non Finanziaria al 30 aprile 2021 approvata dal Consiglio di Amministrazione.

Si ricorda altresì che presso la sede sociale dell'emittente resta disponibile la documentazione sopramenzionata ed il deposito dei bilanci ed i prospetti riepilogativi delle società controllate e collegate (ex artt. 2429 del Codice Civile e 77, comma 2-bis del Regolamento Emittenti adottato dalla Consob con delibera n.11971/1999).

PUBLICATION OF PROPEDEUTICAL DOCUMENTS FOR THE SHAREHOLDERS' MEETING OF AUGUST 26, 2021

Empoli (FI), July 27, 2021

Sesa S.p.A. announces – with reference to the Shareholders' Meeting called on August 26, 2021 on first call and, if necessary, on second call on August 27, 2021 – that the following documentation is published, in accordance with the law and regulations, on the company's website www.sesa.it (section "Investor Relations" – "Shareholders' Meeting") and on the authorized storage mechanism at :

• the draft Financial Statements and Consolidated Financial Statements as of April 30, 2021 approved by the Board of Directors of Sesa S.p.A., together with the Management Report as well as the Corporate Governance and Ownership Structure Report pursuant to art. 123-bis of the Consolidated Finance Act;

• the certification of the Manager in charge of preparing the corporate accounting documents pursuant to art. 154-bis of the Consolidated Finance Act;

• the Report of the Board of Statutory Auditors pursuant to art. 153 of the Consolidated Finance Act and the report of the Independent Auditors;

• the Report on the Remuneration Policy and the Compensation Paid, drawn up pursuant to art. 123-ter of d. lgs. 58/1998;

• the Non-Financial Statements as of April 30, 2021 approved by the Board of Directors.

It is also recalled that the aforementioned documentation and the filing of the financial statements and summary statements of the subsidiaries and associates are available at the issuer's registered office (pursuant to articles 2429 of the Civil Code and 77, paragraph 2-bis of the Issuers Regulation adopted by Consob with resolution n.11971/1999).
