Sesa ("SESA" – SES.MI), operatore di riferimento in Italia nel settore dell'innovazione tecnologica e dei servizi informatici e digitali per il segmento business, con oltre 4.200 dipendenti e ricavi consolidati per circa Eu 2,3 miliardi attesi nell'esercizio al 30 aprile 2022, attraverso la controllata ICOS Deutschland GmbH, costituita nel 2021 al fine di avviare l'offerta del settore Value Added Distribution ("VAD") nella DACH region, ha acquisito il 100% del capitale di Brainworks Computer Technologie GmbH ("Brainworks").
Brainworks, fondata nel 1989 e con sede a Monaco, è focalizzata nell'offerta di soluzioni software, networking e security, con un customer set di 2.000 business partner nella DACH region (Germania, Austria e Svizzera) e ricavi per circa Eu 10 milioni nell'anno 2022. La partnership industriale prevede la fusione di Brainworks in ICOS Deutschland GmbH (società con ricavi per circa Eu 5 milioni nel primo anno di attività al 30 aprile 2022), con un target di Eu 20 milioni di ricavi nell'esercizio al 30 aprile 2023, un Ebitda margin in linea con quello del Settore VAD e 30 risorse umane specializzate.
L'acquisizione di Brainworks è stata realizzata sulla base di criteri di valutazione in linea con quelli adottati dal Gruppo Sesa (EV/Ebitda pari a 5x), con un accordo di continuità gestionale a lungo termine con i keypeople Derk Steffens CEO di Brainworks e Federico Marini CEO di ICOS, entrambi con consolidata esperienza nella DACH region, e l'obiettivo di sviluppo di business in aree strategiche come quelle security ed enterprise software.
L'operazione con Brainworks supporta il percorso di internazionalizzazione del Gruppo Sesa, con un target di ricavi di circa Eu 60 milioni al 30 aprile 2023 all'interno DACH region a livello consolidato. Sesa conferma il proprio commitment nello sviluppo di modelli di business sostenibili e di generazione di valore a lungo termine per i propri Stakeholder anche in Mittel-Europa, in una fase cruciale di accelerazione della domanda di digitalizzazione.

Sesa ("SESA" – SES.MI), Italian leading player in technological innovation and digital services for the business segment with over 4,200 employees and about Eu 2.3 billion revenues expected in the Year ending as of April 30, 2022, through its subsidiary ICOS Deutschland GmbH, established in 2021 to develop Valueadded Distribution ("VAD") business on the DACH region, acquired the 100% stake of Brainworks Computer Technologie GmbH ("Brainworks").
Brainworks, based in Munich and established in 1989, is focused on enterprise software, networking and security solutions, with a customer set of 2,000 business partners in the DACH region (Germany, Austria and Switzerland) and revenues for about Eu 10 million in 2022 Year. The industrial partnership plans the merger of Brainworks with ICOS Deutschland GmbH (company with revenues for Eu 5 million in the First Year of operation as of April 30, 2022), targeting combined revenues for Eu 20 million in the Fiscal Year ending April 30, 2023 with an Ebitda margin in line with Group VAD Sector and 30 skilled human resources.
The acquisition of Brainworks has been closed on the basis of Ev/Ebitda evaluation multiple equal to 5 times, in line with Sesa Group M&A procedures, with a multi-Year management agreement of the two key people Derk Steffens CEO of Brainworks and Federico Marini CEO of ICOS, both with consolidated experience on DACH region, targeting business development in strategic areas as security and enterprise software. The industrial partnership with Brainworks will support the internationalization path of Sesa Group, targeting revenues of approximately Eu 60 million as of April 30, 2023 on the DACH region at consolidated level. Sesa confirms its commitment to develop sustainable and long-term value generation business models for its Stakeholders also on the Mittel-European landscape, in a crucial phase of digitalization demand increase.
