VAR GROUP ACQUISISCE DA INFRACOM ITALIA IL RAMO DI AZIENDA SOFTWARE PANTHERA, CON UNA CUSTOMER BASE DI OLTRE 800 IMPRESE OPERANTI NEI PRINCIPALI DISTRETTI ITALIANI. CONTESTUALE SOTTOSCRIZIONE DI UN ACCORDO DI PARTNERSHIP COMMERCIALE CON IL GRUPPO INFRACOM

Sesa S.p.A., operatore di riferimento in Italia nel settore delle soluzioni IT per il segmento business, con un giro di affari di Euro 1,271 miliardi al 30 aprile 2017 (ultimo bilancio annuale approvato), comunica che la controllata totalitaria Var Group S.p.A. ha sottoscritto un accordo vincolante con Infracom S.p.A. per l'acquisto del ramo di azienda software ERP Panthera.
Il ramo di azienda include 50 risorse umane specializzate operanti a Brescia e sul territorio dell'Italia centro-settentrionale, la proprietà del software ERP Panthera ed una customer base di oltre 800 imprese appartenenti ai segmenti SME ed Enterprise ed operanti nei principali distretti produttivi italiani. Il ramo di azienda sviluppa ricavi annuali per circa Euro 6,5 milioni ed un EBITDA1 atteso di circa Euro 850 migliaia (EBITDA margin di oltre il 10%) con un fabbisogno di capitale circolante medio annuale pari a zero.
L'acquisizione sarà realizzata attraverso la società Sirio informatica e sistemi S.p.A. di Milano, controllata di Var Group S.p.A., con rogito di compravendita da stipularsi entro il 30 Aprile 2018 ed efficacia dal 1 maggio 2018.
Il prezzo dell'operazione, che sarà coperto mediante il ricorso alle disponibilità finanziarie del Gruppo e verrà corrisposto in parte via monetaria al rogito notarile e in parte eventuale e dilazionata sino a 24 mesi, in funzione dell'andamento della partnership commerciale tra Infracom e Var Group per la fornitura di servizi di telecomunicazioni, è stato determinato sulla base di un moltiplicatore EV/EBITDA atteso del ramo di azienda in linea con quelli applicati nelle recenti operazioni di acquisizione del Gruppo Sesa a supporto della generazione di valore per gli azionisti del Gruppo Sesa.
Il ramo di azienda Panthera sarà valorizzato nell'ambito dell'offerta di Sirio informatica e sistemi S.p.A. che sviluppa soluzioni gestionali ERP per il settore manifatturiero con focus su alcuni dei principali distretti del Made in Italy (Fashion, Food, Furniture, Logistics, Mechanics, Paper), un giro di affari di circa Euro 15 milioni e circa 1.250 clienti.
Grazie a questa operazione il settore SSI del Gruppo Sesa, attraverso Var Group, rafforza il proprio posizionamento quale player di riferimento nell'offerta di soluzioni gestionali per la media impresa italiana: includendo le attività delle società controllate Sirio informatica e sistemi S.p.A., Apra S.p.A. (acquisita nel luglio 2015 ed attiva nell'offerta di gestionali per i segmenti Fashion, Furniture e Wine) e Sailing S.r.l. (acquisita nel luglio 2016 ed attiva nell'offerta di Vertical Solutions per il settore

Retail), i ricavi sul segmento ERP and Industry Solutions su piattaforma proprietaria raggiungono un totale di circa Euro 50 milioni con oltre 3.000 clienti Enterprise e SME.
Il Gruppo Infracom costituisce uno degli operatori di riferimento in Italia nel settore dei servizi di telecomunicazione, connettività e data center.
Il Gruppo Sesa con questa operazione rafforza il proprio posizionamento nelle aree a valore aggiunto dell'IT, consolidando il proprio ruolo di Leading Italian IT Services and Solutions Provider per il segmento business. Inoltre prosegue il proprio percorso di crescita sostenibile, alimentato da investimenti in innovazione tecnologica, capitale umano e customer base di clienti.
Le Parti sono state assistite per i profili legali da LMCR e GTA mentre come financial advisor del gruppo Sesa ha operato Electa Italia Srl.

VAR GROUP ACQUIRES FROM INFRACOM ITALIA THE PANTHERA SOFTWARE COMPANY BRANCH, WITH A CUSTOMER BASE OF OVER 800 COMPANIES OPERATING IN THE MOST IMPORTANT ITALIAN DISTRICTS. CONTESTUAL SIGNING OF A COMMERCIAL PARTNERSHIP WITH INFRACOM GROUP

Sesa S.p.A., Leading Italian IT Services and Solutions Provider for the business segment, with a turnover of Euro 1.271 billion at 30 April 2017 (last approved annual financial statements), announces that the fully owned subsidiary Var Group S.p.A. signed a binding agreement with Infracom S.p.A. for the purchase of the ERP Panthera software company branch.
The company branch includes 50 specialized human resources operating in Brescia and in the centralnorthern Italy, the ownership of the ERP Panthera software and a customer base of over 800 companies belonging to SME and Enterprise segments and operating in the most important Italian production districts. The company branch records annual revenues of approximately Euro 6.5 million and an expected Ebitda1 of about Euro 850 thousand (Ebitda margin over 10%) with an average annual working capital requirements equal to zero.
The acquisition will be carried out by the company Sirio informatica e sistemi S.p.A. of Milan, a subsidiary of Var Group S.p.A., with notarial deed to be signed by 30 April 2018 and effective from 1 May 2018.
The price of the transaction, fully covered by Group's financial resources and in part paid cash at the notarial deed and in part deferred in the following 24 months according to the performance of the commercial partnership between Infracom and Var Group for the provision of data center and telecommunications services, was determined on the basis of an expected EV/EBITDA multiplier of the company branch in line with those applied in Sesa Group's recent acquisitions, in order to support the value generation for Sesa Group's shareholders.
The Panthera company branch will be enhanced by the offer of Sirio informatica e sistemi S.p.A. which develps ERP management solutions for the manufacturing sector with a focus on some of most important Made in Italy districts (Fashion, Food, Furniture, Logistics, Mechanics, Paper), a turnover of about Euro 15 million and approximately 1,250 customers.
Thanks to this transaction, SSI division of Sesa Group, through Var Group, strengthens its position as a reference player in the offer of management solutions for the Italian SMEs: including the activities of the subsidiaries Sirio informatica e sistemi S.p.A., Apra S.p.A. (acquired in July 2015 and active in the offer of management solutions for Fashion, Furniture and Wine segments) and Sailing S.r.l. (acquired in July 2016 and active in the offer of Vertical Solutions for the Retail sector),

The parties were assisted for the legal issues by LMCR and GTA while Electa Italia S.r.l. operated as Sesa Group's financial advisor.
