Notice of annual general meeting

Notice is given that the annual general meeting of members of the Company will be held at the RACV Club, Level 2, 501 Bourke Street, Melbourne on Friday 30 October 2009 at 12:00pm.

Annual financial and other reports

To receive the Company’s financial report, directors’ report and auditor’s report for the financial year ended 30 June 2009.

Resolution 1 – Adoption of remuneration report

To consider and if thought fit pass the following resolution as an ordinary resolution :

"That the Remuneration Report for the year ended 30 June 2009 be adopted.”

Note: The Remuneration Report is set out on pages 12 to 16 of the 2009 Annual Financial Report. The vote on this resolution is advisory only and does not bind the Directors of the Company.

Resolution 2 – Re-election of John Llewellyn (Lyn) Davies

To consider and if thought fit pass the following resolution as an ordinary resolution :

“That John Llewellyn Davies who retires by rotation in accordance with rule 7.1(f) of the Company’s constitution and, being eligible, stands for re-election, be re-elected as a director of the Company.”

Resolution 3 – Re-election of Stephe Peter Wilks

To consider and if thought fit pass the following resolution as an ordinary resolution :

“That Stephe Peter Wilks who retires by rotation in accordance with rule 7.1(f) of the Company’s constitution and, being eligible, stands for re-election, be re-elected as a director of the Company.”

Resolution 4 – Approval of issue of 10,386,912 shares as part of the consideration for the acquisition of Metering Services Australasia Pty Ltd

To consider and if thought fit pass the following resolution as an ordinary resolution :

“That the issue of 10,386,912 fully paid ordinary shares in the Company on the terms set out in the explanatory statement accompanying the notice of this meeting, be approved for the purpose of rule 7.4 of the ASX Listing Rules.”

Notes:

  1. A member entitled to attend and vote at this meeting is entitled to appoint one proxy or, if the member is entitled to cast two or more votes at the meeting, two proxies to attend and vote on behalf and instead of the member.

  2. Where two proxies are appointed, the proxies may vote only if each proxy is appointed to represent a specified proportion of the member’s voting rights.

  4. A proxy form accompanies this notice. To be valid the proxy form together with the power of attorney or other authority (if any) under which the form is signed, or a certified copy of that power or authority, must be:

  5. (a) received by the Company’s share register at 452 Johnston Street, Abbotsford, Victoria 3067 before 12:00pm on Wednesday 28 October 2009;

  6. (b) received by the Company’s share register at GPO Box 242, Melbourne, Victoria 8060 before 12:00pm on Wednesday 28 October 2009; or

  7. (c) received by the Company by facsimile on 1800 783 447 (within Australia) or +61 3 9473 2555 (outside Australia) before 12:00pm on Wednesday 28 October 2009.

  8. Regulation 7.11.37 determination: A determination has been made by the Board of Directors of the Company under regulation 7.11.37 of the Corporations Regulations 2001 of the Commonwealth of Australia that those persons who are registered as the holders of shares in the Company at 7:00pm on Wednesday 28 October 2009 will be taken to be the holders of shares for the purposes of determining voting entitlements at the meeting.

  9. Resolution 1 is advisory only and does not bind the Directors or the Company.

Voting exclusion statement

The Company will disregard any votes cast on:

  • (a) resolution 4 (approval of issue of 10,386,912 shares as part of the consideration for the acquisition of Metering Services Australasia Pty Ltd) by any person who participated in the issue (namely the sellers of the shares in Metering Services Australasia Pty Ltd acquired by a subsidiary of the Company) or an associate of any such person.

However, the Company need not disregard a vote if:

  • it is cast by a person as proxy for a person who is entitled to vote, in accordance with the directions on the proxy form; or

  • it is cast by the person chairing the meeting as proxy for a person who is entitled to vote, in accordance with a direction on the proxy form to vote as the proxy decides.

The Chairman of the meeting intends to vote undirected proxies held by the Chairman in favour of each resolution. Please refer to the proxy form accompanying the notice of meeting for more information.

Explanatory statement

1. General information

This explanatory statement is an important document and should be read carefully. It comprises part of, and should be read in conjunction with, the notice of the annual general meeting of Service Stream Limited (“ Company ”) to be held on Friday 30 October 2009.

If you have any questions regarding the matters set out in this explanatory statement (or elsewhere in this notice of annual general meeting) please contact the Company, or your stockbroker or other professional adviser.

2. Resolution 1 – adoption of remuneration report

There will be an opportunity for shareholders at the meeting to comment on and ask questions about the remuneration report, which appears on pages 12 to 16 of the Company’s 2009 annual report.

The vote on the proposed resolution adopting the remuneration report is advisory only and will not bind the Company or its Directors. However, the Board will take the outcome of the vote into consideration when reviewing the Company’s remuneration policy and practices.

The Directors recommend that shareholders vote in favour of resolution 1.

3. Resolution 2 – re-election of John Llewellyn (Lyn) Davies

Rule 7.1(f) of the Company’s constitution states that at every annual general meeting of the Company, one-third of the Directors (rounded down, if necessary, to the nearest whole number) and any other director who, if he or she does not retire, will at the conclusion of the meeting have been in office for 3 or more years, must retire from office. A retiring director is eligible for re-election.

In accordance with these requirements, Mr. Davies retires by rotation at this year’s annual general meeting and, being eligible, stands for re-election.

Mr Lyn Davies joined the Service Stream Group on 25 August 2005 as Chairman. He is a member of the Company’s Audit and Governance Committee and is Chairman of the Remuneration and Nomination Committee. He is a director of all subsidiary companies except for Total Communications Infrastructure (Pte) Ltd.

Mr Davies is also Chairman of Citywide Service Solutions Pty Ltd and Star Services International Pty Ltd, and is a Director of Mackay Consolidated Industries Pty Limited and ParaQuad Victoria.

Mr Davies has acted as an advisor on commercial matters to boards in a wide range of industries and he brings highly developed commercial and corporate governance skills to the Board.

His previous business experience includes more than 20 years at executive director level with Elders IXL Limited, Wattie Limited and Goodman Fielder Limited. His qualifications include a Diploma of Agriculture and a Diploma from the Australian Institute of Company Directors.

Mr Davies is a Company Director. He is a Fellow of the Australian Institute of Company Directors, a Fellow of the Australian Institute of Management and a Life Member of the Australian Institute of Agricultural Science and Technology.

The Directors (other than Mr Davies) recommend that shareholders vote in favour of resolution 2.

4. Resolution 3 – re-election of Stephe Peter Wilks

Mr Wilks joined the Service Stream Group as Non-Executive Director when Total Communications Infrastructure Limited merged with Service Stream Limited in December 2006. Prior to the merger he had been a Director of TCI for two years. He is Chairman of the Environment and Safety Committee and a member of the Audit and Governance Committee.

Mr Wilks has over 20 years hands on experience in the telecommunications industry both within Australia and overseas.

Mr Wilks is currently Chairman of Mooter Media Limited and a Director of Tel.Pacific Limited and 3Q Holdings Limited. He is on the advisory board of the Network Insight Group and consults to a number of companies, offering advice in relation to the telecommunications, media and technology industries.

Mr Wilks has previously held senior executive positions with BT Asia Pacific, Optus, Hong Kong Telecom, Nextgen Networks and Personal Broadband Australia. He was also a consulting director with investment bank, NM Rothschild.

He holds degrees in science and laws from Macquarie University and a Master of Laws from the University of Sydney.

The Directors (other than Mr Wilks) recommend that shareholders vote in favour of resolution 3.

5. Resolution 4 – approval of issue of 10,386,912 shares as part of the consideration for the acquisition of Metering Services Australasia Pty Ltd

Rule 7.1 of the ASX Listing Rules requires the Company to obtain shareholder approval if it wishes to issue, or agrees to issue, shares in a 12 month period in excess of 15% of the ordinary shares in the Company on issue at the commencement of the 12 month period, subject to a number of exceptions set out in rule 7.2.

Rule 7.4 of the ASX Listing Rules states that shares issued without the approval of shareholders under listing rule 7.1 will be treated as having been made with the approval of shareholders if the issue of shares did not breach listing rule 7.1 and the holders of ordinary shares subsequently approve the issue.

On 1 February 2008 the Company announced the acquisition of Australia’s leading metering service provider AMRS (Aust) Pty Limited (AMRS). Consideration for the acquisition included an initial payment of $15 million plus working capital, followed by two separate deferred payments of $8 million on 1 September 2008 and 1 September 2009 respectively.

In negotiations with the sellers the Company was able to arrange a significant deferral of consideration (as noted above, to September 2008 and September 2009) with half of the deferred consideration to be made by an issue of shares. This has enabled the Company to preserve its cash reserves and facilities for other business initiatives and to minimise debt.

The Company recently issued 10,386,912 fully paid ordinary shares at an issue price of $0.3851 per share to the sellers of the AMRS Group. In the circumstances, the Company is seeking under resolution 4, shareholder approval for the issue of those shares. The new shares represent approximately 5.28% of the total number of ordinary shares in the Company on issue following this issue (which was 196,818,658 shares).

The shares were issued on 9 September 2009 as fully paid ordinary shares having the rights, and subject to the restrictions, set out in the Company’s constitution, and from the date of issue ranked equally with all other fully paid ordinary shares in the Company then on issue.

No funds were raised by the issue of these shares.

The Directors recommend that shareholders vote in favour of resolution 4.

Signing Instructions
