F1: TA is a wholly owned subsidiary of HPT TA Properties Trust (HPT TA Properties), which is a wholly owned subsidiary of Hospitality Properties Trust (HPT). Following the closing of the acquisition of TravelCenters of America, Inc. by HPT on January 31, 2007, HPT TA Properties will distribute all of its equity interest in TA to HPT. On January 31, 2007, TA will issue additional shares to HPT as a share dividend and HPT will immediately spin off all of its equity interests in TA to HPT's shareholders of record as of January 26, 2007. HPT shareholders will receive, at no additional cost, one common share of TA for every ten common shares of HPT owned as of January 26, 2007.
