For the purposes of rule 7.12.1 of the NZX Main Board Listing Rules (" Listing Rules "), Serko Limited (" Serko ") advises that the following securities have been issued:

Class of Security: Ordinary shares in Serko (“ Shares ”) ISIN: NZSKOE0001S7 Number issued: 573,922 Shares (the “ New Shares ”) Issue price: NZ$3.30 (US$2.178) per New Share Payment in cash: No, the payment was not in cash Any amount paid up: Fully paid up Percentage of the total Class of 0.714% (before issue) Securities issued: Reason for the issue: The New Shares were issued to stockholders of InterplX, Inc. as part consideration for the merger between IndigoX Merger Sub, Inc., and InterplX, Inc., in each case pursuant to an Agreement and Plan of Merger dated 20 December 2018

Any terms or details of the issue: The New Shares will be issued on the same terms as the existing Shares on issue. The New Shares are subject to an escrow period, pursuant to an Escrow Deed dated 20 December 2018, restricting the New Shares from being sold before 30 June 2019.
