INITIAL NOTIFICATION OF TRANSACTIONS OF PERSONS DISCHARGING MANAGERIAL RESPONSIBILITIES ('PDMRs') IN ORDINARY SHARES OF 2p EACH IN THE COMPANY ('Ordinary Shares')

On 6 October 2020, the Company granted conditional share awards ('Matching Awards') to the following PDMRs under the Serco Group plc 2019 Deferred Bonus Plan ('DBP'):

The Matching Awards have a normal vesting date of 5 May 2023 and vesting is conditional on continued employment, the continued holding of the Investment Shares purchased on 4 May 2020 pursuant to the earlier voluntary deferral of a proportion of their 2019 annual bonus, and the satisfaction of an EPS performance measure tested over the relevant three-year performance period.
