Section 430 (2B) Companies Act 2006 Statement - Angie Risley

As announced on 4 July 2017, following six years' service on the Board of Serco Group plc (the "Company"), Angie Risley has stepped down as a Non-Executive Director of the Company with effect from 15 September 2017.

The following information is provided in accordance with section 430 (2B) of the Companies Act 2006:

The Company confirms that, other than fees payable to Angie for the period up to 15 September 2017, no remuneration or payment has been or will be made to her in connection with her ceasing to be a director of the Company.

The Company's Remuneration Report for the financial year ending 31 December 2017 will include details of the fees earned by Angie during the relevant period.
