Seraphine Group plc (the "Company") announces that on [16] July 2021 the following awards over ordinary shares of 1 pence each in the Company became effective under the Seraphine Group plc Long Term Incentive Plan (LTIP) to the following person(s) discharging managerial responsibilities:

The awards were granted as options with an option price per share of 1 pence and will ordinarily vest on [16] July 2024, subject to the grantee's continued service and the Remuneration Committee's assessment of the extent to which the award's performance conditions are satisfied. A post vesting holding period applies during which vested shares (net of sale for tax) must then ordinarily be retained until [16] July 2026.

The performance conditions require the Company's Adjusted EBITDA pre IFRS 16 (which will be re-expressed as adjusted EPS) for the year ending April 2024 achieving £13 million to £16 million. 25 per cent. of each award will vest at £13 million rising on a straight-line basis to 100 per cent. vesting at £16 million.
