NOTICE OF THE 57[TH] ANNUAL GENERAL MEETING, REMOTE E-VOTING AND BOOK CLOSURE INFORMATION

Notice is hereby given that:

1. The 57[th] Annual General Meeting (AGM) of the members of the company will be held on Thursday August 27, 2020 at 11.30 a.m. IST through Video Conferencing/Other Audio Visual Means (VC/OAVM) as set forth in the notice of the meeting dated July 29, 2020.

2. Electronic copies of the Notice of the AGM and annual report for fiscal 2020 have been sent to all the members whose email-IDs are registered with the company/depository Participant(s). These documents are also available on the website of the company at http://serindustries.co.in/. The notice of AGM and Annual Report for fiscal 2020 have been sent to all the members on August 3, 2020.

3. Members holding shares either in physical form or dematerialized form, as on the cutoff date August 20, 2020 may cast their vote electronically on the business as set forth in the notice of the AGM through electronic voting system of National Securities Depository Limited (NSDL) („remote e-voting). All the members are informed that:

4. i. The business as set forth in the notice of the AGM may be transacted through voting by electronic means;

5. ii. The remote e-voting shall commence on August 24, 2020 at 9.00 a.m.

6. iii.The remote e-voting shall end on August 26, 2020 at 5.00 p.m.

7. iv. The cut-off date for determining the eligibility to vote by electronic means or at the AGM is August 20, 2020.

8. v. E-voting by electronic mode shall not be allowed beyond August 26, 2020 at 5.00 p.m.

9. vi. Members may note that

   • a) The remote e-voting module shall be disabled by NSDL beyond August 26, 2020 at 5.00 p.m. and once the vote on the resolution is cast by the member, the member shall not be allowed to change it subsequently;

   • b) The members who have cast their vote by remote e-voting prior to the AGM may also attend the AGM but shall not be entitled to cast their vote again

10. vii. d) Only persons whose name is recorded in the Register of members or in the register of beneficial owners maintained by the depositories as on the cut-off date only shall be entitled to avail facility of remote e-voting or voting at the AGM.

11. viii. The notice of the AGM is available on the company‟s website http://serindustries.co.in/ and also on the NSDL‟s website https://www.evoting.nsdl.com
