Notifi cation of Placement of Under-subscriptions for the Non-Renouncable Rights Issue

MDS Financial Group Ltd (the “Company” or “Group”) advises that the 1 for 1 Rights Issue at $0.002 per new fully paid ordinary share in the Company (“Rights Issue”) closed at 5pm (AEST) on Friday 4 July 2014 and as announced on 11 July 2014, is now fully subscribed at as 18 August 2014.

The maximum number of new shares that could be issued under the Rights Issue was 515,083,001. At the closure of the Rights Issue 377,687,335 new shares were issued, representing a 73.3% acceptance rate of eligible holders. These new shares were issued on 11 July 2014.

The total Rights Issue Shortfall of 137,455,666 ordinary shares has since been fully subscribed to either the existing “ineligible foreign” holders or a number of new holders.

Following this issue of shares, the Company now has 1,030,166,002 fully paid ordinary shares on issue.

Following expressions of interest from a number of additional strategic investors, the Company will consider if there is merit in taking further placements in accordance with ASX Listing Rule 7.1 & 7.1A .
