Item 5.03. Amendments to Articles of Incorporation or Bylaws; Change of Fiscal Year.

On December 6, 2012, the Board of Directors amended Section 3.16(a) of the Company's By-laws , effective immediately, to delete the second sentence thereof, which required that all members of the Finance Committee must be non-employee directors. On that date Mr. Paul Manning, the Company's President and Chief Operating Officer, was appointed to the Executive Committee and the Finance Committee, and his membership on the Scientific Advisory Committee was confirmed.
