ITEM 5.03 Amendments to Articles of Incorporation or Bylaws; Change in Fiscal Year.

On March 26, 2020, the Board of Directors of Sensient Technologies Corporation (the “Company”) amended certain Sections of the Company’s Amended and Restated By-laws (the “By-Laws”), effective immediately, to allow the Company to hold meetings of its shareholders by remote communication.

The By-Laws, as amended, were promptly posted on the Company’s website, www.sensient.com.

The foregoing description of the amendments to the By-Laws does not purport to be complete and is qualified in its entirety by reference to the full text of the Sensient Technologies Corporation Amended and Restated By-Laws, as amended March 26, 2020, which are filed as Exhibit 3.2 to this Current Report on Form 8-K.
