Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

Effective on January 14, 2008, Richard Carney, the Company’s Vice President — Administration, retired from that position and announced that he would retire as an employee of the Company on August 15, 2008.

Sensient and Mr. Carney have entered into an agreement providing for the continuation of specified benefits until the retirement date. Certain other benefits, including Mr. Carney’s participation in Sensient’s incentive compensation plan for 2008 and his change of control employment and severance agreement, are being terminated.
