On August 2, 2022, Semtech Corporation (the “Company”) issued a press release confirming that that it has engaged in advanced discussions regarding a potential transaction with Sierra Wireless, Inc. at a price of US$31 per share. A copy of the press release is attached hereto as Exhibit 99.1 and is incorporated herein by reference.
