Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On March 11, 2020, Carmelo J. Santoro notified the Chairman of the Board of Directors (the “Board”) of Semtech Corporation (the “Company”) that he will retire as a director and not seek re-election as a member of the Board at the Company’s 2020 Annual Meeting of Stockholders (the “Annual Meeting”) which is expected to be held in June 2020. Dr. Santoro currently serves on the Compensation Committee of the Board (the “Compensation Committee”). Dr. Santoro will continue to serve on the Board and as a member of the Compensation Committee until the date of the Annual Meeting. Dr. Santoro’s decision to retire as a director is not the result of a disagreement with the Company.
