(e) Compensatory Arrangements of Certain Officers

At a meeting on August 26, 2008, the Compensation Committee (the “Committee”) of the Board of Directors of Semtech Corporation (the “Company”) approved an increase in the annual base salary of Vice President and Chief Financial Officer Emeka Chukwu. His base salary was increased from $230,050 to $260,000.

The Committee increased Mr. Chukwu’s base salary in recognition of his outstanding performance and to more closely align his compensation with the compensation of Chief Financial Officers of peer companies. The increase in Mr. Chukwu’s base salary is effective August 26, 2008.
