Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On June 18, 2012, Carlos Ruiz resigned as a director of Sempra Energy effective immediately. Mr. Ruiz has agreed to become the Chief Executive Officer and Chairman of Sempra México, S. de R.L. de C.V. In this position, Mr. Ruiz will be responsible for the management of Sempra Energy’s Mexican operations.
