ANNOUNCEMENT

Semapa - Sociedade de Investimento e Gestão, SGPS, S.A. ("Semapa") hereby informs that, further to the announcement released today to the market regarding the signing of an agreement relating to Secil - Companhia Geral de Cal e Cimento, S.A., and following the contact made by the Portuguese Securities Market Commission ("Comissão do Mercado de Valores Mobiliários"), the said transaction, taking into account the value of currently recorded and unaudited financial investment and subject to the conditions set out in that agreement being met, is expected, in the 2026 financial year, to result in an estimated capital gain of 400 million euros.

Without prejudice to the above and considering that this is an estimate subject to verification by Semapa's auditor in the context of the audit works (to be carried out after the completion of the transaction), the exact amount of the capital gain will be determined after the conclusion of such work and will be disclosed in due course.
