PROFIT WARNING

This announcement is made by SEM Holdings Limited (the "Company", together with its subsidiaries, the "Group") pursuant to Rule 13.09(2) of the Rules Governing the Listing of Securities on The Stock Exchange of Hong Kong Limited (the "Listing Rules") and the Inside Information Provisions (as defined in the Listing Rules) under Part XIVA of the Securities and Futures Ordinance (Chapter 571 of the Laws of Hong Kong).

The board of directors of the Company (the "Board") wishes to inform the shareholders of the Company (the "Shareholders") and potential investors that based on a preliminary assessment of the unaudited consolidated management accounts of the Group for the year ended 31 December 2025 and other information currently available, it is anticipated that the Group is expected to record a net loss of approximately HK$19.8 million for the year ended 31 December 2025 as compared to a net profit of approximately HK$3.8 million for the year ended 31 December 2024.

The Board considers that the aforesaid turnaround from profit to loss position is primarily attributable to (i) the decrease in gross profit margins of the Group for the year ended 31 December 2025 as compared to the year ended 31 December 2024; and (ii) the increase in administrative expenses.

As the Company is still in the process of finalising the annual results for the year ended 31 December 2025, the information contained in this announcement is only a preliminary assessment made by the Board and the Company's management based on the unaudited consolidated management accounts of the Group for the year ended 31 December 2025 and the information currently available, which has not been audited by the Company's auditors or reviewed by the audit committee of the Company, and is subject to finalisation and adjustments when necessary. The annual results announcement for the year ended 31 December 2025 of the Company is expected to be published in March 2026.
