The board (the “ Board ”) of directors (the “ Directors ”) of SEM Holdings Limited (the “ Company ” and, together with its subsidiaries, the “ Group ”) announces that Mr. Yip Chi Fai (“ Mr. Yip ”) has tendered his resignation as the company secretary of the Company (the “ Company Secretary ”) with effect from 7 July 2021 and has ceased to act as the authorised representative of the Company (the “ Authorised Representative ”) under Rule 3.05 of the Rules Governing the Listing of Securities (the “ Listing Rules ”) on The Stock Exchange of Hong Kong Limited (the “ Stock Exchange ”) upon his resignation.

Mr. Yip has confirmed that he has no disagreement with the Board and there are no matters relating to his resignation and cessation that need to be brought to the attention of the Stock Exchange and the shareholders of the Company.

A P P O I N T M E N T O F C O M P A N Y S E C R E T A R Y A N D A U T H O R I S E D REPRESENTATIVE

The Board is pleased to announce that Mr. Lo Kwun Kit (“ Mr. Lo ”) has been appointed as the financial controller of the Group, the Company Secretary and the Authorised Representative under Rule 3.05 of the Listing Rules in replacement of Mr. Yip with effect from 7 July 2021.

Below is the biographical information of Mr. Lo:

Mr. Lo obtained the degree of bachelor of business administration with a major in accounting and a minor in finance from The Hong Kong Polytechnic University in October 2013. Mr. Lo has approximately 8 years of working experiences in accounting, financial management and auditing. From 2013 to 2021, Mr. Lo served as an auditor in several professional firms including two of the big four international accounting firms in Hong Kong. From February 2021 to July 2021, he was a financial controller of a main board listed company in Hong Kong. Mr. Lo has been a member of the Hong Kong Institute of Certified Public Accountants since October 2016.
