Item 2.02 Results of Operations and Financial Condition.

On August 14, 2012, Galena Biopharma, Inc. (the “Company”) issued a press release announcing the Company’s financial results for the quarter ended June 30, 2012 and an update on recent business developments. A copy of the press release is attached to this Form 8-K as Exhibit 99.1 and is incorporated herein by reference.
