SEGRO plc (the Company)

SEGRO plc Saving Related Share Option Scheme (Sharesave)

The following Director exercised options over ordinary shares of 10 pence each (Shares) in the Company on 1 June 2017, pursuant to the maturity of the Company's 2014 Sharesave. The Shares allotted on the exercise of the options were retained by the individual.

The table below shows the number of Shares allotted and the resultant beneficial holding:

Notes:

1. Following the completion of the Rights Issue on 28 March 2017, the number of shares awarded under the 2014 Sharesave and the option price per share were adjusted. The adjustment factor applied was 1.046.

The savings contracts for the 2017 Sharesave award commenced on 1 June 2017, and the following Directors and PDMRs were granted options to buy Shares in the Company at an option price of 366.24 pence per Share.
