Share Placement - ASX Listing Rule 3.10.3

For the purposes of ASX Listing Rule 3.10, SEEK Limited (“ Seek ”) provides the following information in relation to the share placement to certain existing shareholders it announced on 23 April 2009:

• 1 Class of securities to be issued: Ordinary shares in SEEK (“ Shares ”).

• 2 Number of securities to be issued (if known) or maximum number which may be issued: 13,270,043

• 3 Principle terms of the securities to be issued: The Shares will rank equally in all respects with existing ordinary shares in SEEK.

• 4

  • Issue price or consideration: Issue price of $2.60 per Share.

• 5 Purpose of the issue: To fund the transactions to which SEEK referred in its announcements on 23 April 2009, with the remaining proceeds to be used to partially pay down debt.

• 6 Whether the entity will seek security holder approval in relation to the proposed issue of securities: SEEK will not seek shareholder approval for the issue of Shares under the placement.

• 7 Whether the issue will be to a class of security holders: The issue was limited to certain existing shareholders.
