SEEK Limited – Completion of Share Purchase Plan and Top-Up Offer
SEEK Limited (“SEEK”) today announced the results of its Share Purchase Plan (“SPP”) and Top-Up Offer.
The SPP and Top-Up Offer closed at 5.00pm (AEST) on 9 June 2009. Eligible applications for approximately $20.4 million of new fully paid ordinary shares in SEEK (“Shares”) were received in the SPP and for approximately $8.9 million of Shares in the Top-Up offer.
Given the total application monies in the SPP exceeded the previously stated cap of $15 million, SEEK has determined that it will scale back applications under the SPP. Eligible applicants under the SPP will be allocated 13.35% of the shares they held on the Record Date (being the maximum application that shareholders could make under the Top-Up Offer). Applications under the SPP in excess of this amount will be allocated up to an additional 1,000 Shares. Any excess monies paid under the SPP will be refunded to the relevant shareholder.
Following the scale back, the total amount raised under the SPP will be approximately $15 million.
Applications under the Top-Up Offer were accepted in full in accordance with the previously stated policy.
The price at which the Shares will be issued under the SPP and Top-Up offers is $2.60 per Share which is the same price as under the other components of SEEK’s capital raising announced on 23 April 2009. Together with the placements completed on 24 April and 11 May 2009, the SPP and Top-Up Offer has raised a total of approximately $124 million for SEEK.
The Shares under the SPP and Top-Up Offer will be allotted on 16 June 2009. Holding statements are expected to be mailed to participating shareholders on 18 June 2009 with normal trading of Shares issued under the SPP and Top-Up Offer commencing on 19 June 2009.
