OVERSEAS REGULATORY ANNOUNCEMENT
This overseas regulatory announcement is issued pursuant to Rule 13.10B of the Rules Governing the Listing of Securities (the “ Listing Rules ”) on The Stock Exchange of Hong Kong Limited (the “ Stock Exchange ”).
Reference is made to the announcements of Seazen Group Limited (the “ Company ”) published on January 6, 2021 and January 7, 2021 in relation to the Notes Issue (the “ Announcements ”). Unless otherwise defined, all terms used herein shall have the same meanings as those defined in the Announcements.
The board of directors (“ Board ”) of the Company is pleased to announce that all the conditions precedent under the Purchase Agreement has been fulfilled and the Notes Issue has been completed on January 13, 2021.
Please refer to the attached offering memorandum in relation to the Notes (the “ Offering Memorandum ”), which will be available on the website of the Singapore Exchange Securities Trading Limited (www.sgx.com).
