F1: On October 22, 2020, the Reporting Person transferred 3,570 Ordinary Shares previously owned directly (5,579 Ordinary Shares vested on October 21, 2020 minus 2,009 Ordinary Shares withheld to cover tax liabilities) to Mark Woolsey Adams and Maureen Madden Adams, Trustees Adams Family Trust DTD 10/27/2000 ("Adams Family Trust DTD 10/27/2000").

F2: These Ordinary Shares are withheld securities to cover tax liabilities incident to the vesting of Restricted Share Units ("RSUs").

F3: All shares previously reported as directly held by the Reporting Person were transferred following acquisition to the Adams Family Trust DTD 10/27/2000, over which the Reporting Person serves as co-trustee.

Each RSU represents a contingent right to receive one Ordinary Share of the Issuer. Subject to the Reporting Person's continuous service with the Issuer, shares will be released to the Reporting Person on the earlier of (i) one year from the date of grant and (ii) the date of the next annual general meeting of shareholders which is at least fifty (50) weeks after the immediately preceding year's annual meeting.
