F1: On July 8, 2011, the Compensation Committee of the Board of Directors of the Issuer authorized and confirmed that the peformance metrics were met with respect to 10,500 of the 42,000 Performance Shares granted to Mr. Whitmore on September 13, 2007 and reported on Mr. Whitmore's Form 4 dated September 17, 2007. Further the Compensation Committee also confirmed that the performance metrics were met with respect to 2,090 of the 8,360 Peformance Shares granted on September 12, 2008 and reported on September 16, 2008 and that the performance metrics were met with respect to 4,000 of the 16,000 Performance Shares granted on September 13, 2010 and reported on September 15, 2010.

F2: Options granted to the Reporting Person under the Issuer's 2004 Stock Compensation Plan are subject to a four year vesting schedule. One quarter of the option shares vested on January 12, 2010. The remaining option shares vested proportionally each month over the 36 months following January 12, 2010.
