Application for Listed Options Appendix 3B

Further to the Company’s announcement on 2 June 2017, Seafarms Group Limited (ASX: SFG) (Company) provides the attached Appendix 3B seeking quotation of up to 126,092,585 Options to be issued to those participants in the recent Placement, Shareholders who subscribed for shares in the Share Participation Plan and Avatar Finance which converted debt to shares in the Company.

The issue of the majority of the Options was approved at the Extraordinary General Meeting on 4 July 2017.

The Options are a new class of security and rank equally amongst themselves.
Any ordinary shares issued upon the exercise of the Options will be fully paid and will, on issue, rank equally in all respects with the fully paid ordinary shares issued by the Company.
Any Options not exercised before their expiry date will lapse and expire.
The Options are not entitled to participate in dividends, distributions or interest payments.

5 Issue price or consideration
The Options will be issued for nil consideration.

6 Purpose of the issue

The Options will be issued as free attaching options in connection with the Company's recent capital raising.

Quotation agreement

  1. +Quotation of our additional +securities is in ASX's absolute discretion. ASX may quote the +securities on any conditions it decides.

  2. We warrant the following to ASX.

  3. The issue of the +securities to be quoted complies with the law and is not for an illegal purpose.

  4. There is no reason why those +securities should not be granted +quotation.
  5. An offer of the +securities for sale within 12 months after their issue will not require disclosure under section 707(3) or section 1012C(6) of the Corporations Act.
