DISCLOSURE OF LARGE SHAREHOLDING IN SEADRILL LIMITED

This Notification relates to the ordinary shares (the

shares)of the Company.

We hereby notify you that on 13 October 2014, Morgan

Stanley & Co. LLC ("MS&Co") acquired 104,466 shares

of the Company. Following the acquisition, MS&Co held

a total interest in 5,644,480 shares, being

approximately 1.14% of the issued share capital of

the Company.

In addition and as at the same date, Morgan Stanley

Smith Barney LLC held an interest of 19,072,893

shares, being approximately 3.87% of the issued share

capital of the Company and Bank Morgan Stanley AG

held an interest of 32,487 shares, being

approximately 0.01% of the issued share capital of

the Company.

As a result Morgan Stanley held a total interest of

24,749,860 shares being approximately 5.02% of the

issued share capital of the Company.

subsidiary of Morgan Stanley Domestic Holdings Inc.

Morgan Stanley Domestic Holdings Inc. is an indirect

holder and is a subsidiary of Morgan Stanley Capital

Management LLC. Morgan Stanley Capital Management LLC

is an indirect holder and is a subsidiary of the

beneficial owner Morgan Stanley (parent company).

Bank Morgan Stanley AG is a direct holder and is a

subsidiary of Morgan Stanley Swiss Holdings GmbH.

Morgan Stanley Swiss Holdings GmbH is an indirect

holder and is a subsidiary of Morgan Stanley Smith

Barney Holdings LLC. Morgan Stanley Smith Barney

Holdings LLC is an indirect holder

and is a subsidiary of Morgan Stanley Domestic

is an indirect holder and is a subsidiary of Morgan
