Disclosure of large shareholding in Seadrill Limited

This Notification relates to the ordinary shares

(the "shares") of the Company.

On 12 November 2014, Morgan Stanley & Co. LLC

("MS&Co") acquired 646,233 shares of the Company.

Following the acquisition, MS&Co held a total

interest in 6,690,549 shares, being approximately

1.357% of the issued share capital of the Company.

In addition, and as at the same date, Morgan Stanley

Smith Barney LLC held an interest of 18,072,470

shares, being approximately 3.665 % of the issued

share Capital of the Company, and Bank Morgan Stanley

AG held an interest of 15,200 shares, being

approximately 0.003% of the issued share Capital of

the Company.

As a result Morgan Stanley held a total interest of

24,778,219 shares being approximately 5.025 % of the

issued share capital of the Company, and now holds a

notifiable in terest in the Company.

subsidiary of Morgan Stanley Domestic Holdings Inc.

Morgan Stanley Domestic Holdings Inc. is an indirect

holder and is a subsidiary of Morgan Stanley Capital

Management LLC. Morgan Stanley Capital Management LLC

is an indirect holder and is a subsidiary of the

beneficial owner Morgan Stanley (parent Company).

Bank Morgan Stanley AG is a direct holder and is a

subisidary of Morgan Stanley Swiss Holdings GmbH.

Morgan Stanley Swiss Holdings GmbH is an indirect

holder and is a subsidiary of Morgan Stanley Smith

Barney Holdings LLC. Morgan Stanley Smith Barney

Holdings LLC is an indirect holder and is a

subsidiary of Morgan Stanley Domestic Holdings Inc.

Morgan Stanley Domestic Holdings Inc. is an indirect

holder and is a subsidiary of Morgan Stanley Capital

Management LLC. Morgan Stanley Capital Management LLC

is an indirect holders and is a subsidiary of the

beneficial owner Morgan Stanley (parent Company).
