DISCLOSURE OF LARGE SHAREHOLDING IN SEADRILL LIMITED

("the Company") UNDER SECTION 4 OF THE SECURITIES

TRADING ACT

This notification relates to the ordinary shares

(the "shares") of the Company.

We hereby notify you that on 14 November 2014, Morgan

Stanley & Co. LLC ("MS&Co") disposed of 410,638

shares of the Company. Following the disposal, MS&Co

held a total interest in 6,293,391shares, being

approximately 1.276% of the issued share capital of

the Company.

In addition and as at the same date, Morgan Stanley

Smith Barney LLC held an interest of 17,896,131

shares, being approximately 3.629% of the issued

share capital of the Company, and Bank Morgan Stanley

AG held an interest of 15,200 shares, being

approximately 0.003% of the issued share capital of

the Company.

As a result Morgan Stanley held a total interest of

24,204,722 shares being approximately 4.908% of the

issued share capital of the Company, and no longer

holds a notifiable interest in the Company.

subsidiary of Morgan Stanley Domestic Holdings Inc.

holder and is a subsidiary of Morgan Stanley Capital

is an indirect holder and is a subsidiary of the

beneficial owner Morgan Stanley (parent company).

Bank Morgan Stanley AG is a direct holder and is a

subsidiary of Morgan Stanley Swiss Holdings GmbH.

Morgan Stanley Swiss Holdings GmbH is an indirect

holder and is a subsidiary of Morgan Stanley Smith

Barney Holdings LLC. Morgan Stanley Smith Barney

Holdings LLC is an indirect holder and is a

subsidiary of Morgan Stanley Domestic Holdings Inc.

Morgan Stanley Domestic Holdings Inc. is an indirect

holder and is a subsidiary of Morgan Stanley Capital

Management LLC. Morgan Stanley Capital Management LLC

is an indirect holder and is a subsidiary of the
