Disclosure of large shareholding

On 18 November 2014, Morgan Stanley & Co. LLC ("MS&Co")

acquired 470,251 shares in Seadrill Limited. Following the

acquisition, MS&Co held a total interest in 6,845,923

shares, being approximately 1.388% of the issued share

capital of the Company.

In addition and as at the same date, Morgan Stanley Smith

Barney LLC held an interest of 17,802,880 shares. being

approximately 3.611% of the issued share capital of the

Company, and Bank Morgan Stanley AG held an interest of

33,004 shares, being approximately 0.007% of the issued

share capital of the Company.

As a result Morgan Stanley held a total interest of

24,681,807 shares being approximately 5.01% of the issued

share capital of the Company, and now holds a notifiable

interest in the Company.
