Notification of Significant Shareholding in Seadrill Ltd

We hereby notify you that on 19 November 2014,

Morgan Stanley & Co LLC (MS&Co)disposed of 83,514

shares of the Company. Following the disposal MS&Co

held a total interest in 6,762,409 shares being

approximately 1.37% of the issed share capital of

the Company.

In addition and as at the same date, Morgan Stanley

Smith Barney LLC held and interest of 17,832,759

shares, being approximately 3.62% of the issued share

capital of the Company, and Bank Morgan Stanley AG

held and interest of 33,004 shares, being

approximately 0.01% of the issued share capital of

the Company.

As a result Morgan Stanley held a total interest of

24,628,172 shares being approximately 4.99% of the

issued share capital of the Company, and now holds a

notifiable interest in the Company.
