UPDATE ON FUNDRAISING ACTIVITY

The board of directors (the “ Board ”) of SDAI Limited (the “ Company ”) refers to the Company’s announcements dated 10 June 2025 and 20 June 2025 in relation to the updates provided on the special audit of the Company (“ Special Audit Update Announcements ”).

Unless otherwise defined, all capitalised terms in this announcement shall have the same meanings ascribed to them in the Special Audit Update Announcements.

Further to the Special Audit Update Announcements, the Board wishes to update Shareholders that the Company remains in active discussions with the prospective investors of the Company (“ Prospective Investors ”) and a revised draft of the fundraising agreement has been circulated to the Prospective Investors for further discussion. However, the projected timeline for the entry into the fundraising agreement for the Fundraising Activity has been further revised due to a change in the travel commitments of the parties involved, which delayed the discussions (via physical meeting) between the Company and the Prospective Investors on the terms of the Fundraising Activity, and consequently, the signing of the fundraising agreement(s). Accordingly, the Company aims to raise proceeds from the Fundraising Activity and satisfy the Settlement in accordance with the revised projected timeline as set out in the table below:

Notwithstanding that the shares in the Company have been suspended from trading on the Singapore Exchange Securities Trading Limited since 12 July 2021, Shareholders and potential investors of the Company are advised to read this announcement and any further announcements by the Company carefully.
