UPDATE ON FUNDRAISING ACTIVITY

The board of directors (the “ Board ”) of SDAI Limited (the “ Company ”) refers to the Company's announcements dated 10 June 2025, 20 June 2025 and 9 July 2025 in relation to the updates provided on the special audit of the Company (each a “ Special Audit Update Announcement ” and collectively, the “ Special Audit Update Announcements ”).

Unless otherwise defined, all capitalised terms in this announcement shall have the same meanings ascribed to them in the Special Audit Update Announcements.

The Board wishes to update Shareholders that, further to the last Special Audit Update Announcement dated 9 July 2025, the Company has finalised the list of Prospective Investors and the corresponding investment amounts and have provided the Prospective Investors with the revised fundraising agreements for the Fundraising Activity.

The fundraising agreements are currently pending execution by the Company and the Prospective Investors. Unfortunately, as a result of unexpected delays in obtaining signatures due to travel issues, the entry into the fundraising agreements between the Company and the Prospective Investors will not take place today as previously scheduled. Upon execution of the fundraising agreements, the receipt of proceeds from the Prospective Investors and satisfaction of the Settlement will be completed in due course.

The Board continues to closely monitor the situation and will issue a further announcement in relation to the Fundraising Activity as soon as possible as and when there are material developments.

Notwithstanding that the shares in the Company have been suspended from trading on the Singapore Exchange Securities Trading Limited since 12 July 2021, Shareholders and potential investors of the Company are advised to read this announcement and any further announcements by the Company carefully. Shareholders and potential investors of the Company are advised to refrain from taking any action in respect of their securities in the Company which may be prejudicial to their interests and to exercise caution when dealing in the securities of the Company. In the event of any doubt, Shareholders and potential investors of the Company should consult their stockbrokers, bank managers, solicitors, accountants or other professional advisers.
