S.D. Standard ETC Plc – Major shareholding notification

Oslo, Norway 2 September

Øystein Stray Spetalen has 1 September transferred all his shares in Ferncliff Holding AS, which indirectly controls 462,015,048 shares in the S.D. Standard ETC Plc (SDSD) (the Company) (corresponding to 88.090% of the shares and voting rights), through (a) Ferncliff Listed DAI AS (100% owned by Ferncliff TIH AS, which again is 100% owned by Ferncliff Holding AS), which owns 155,918,109 shares in the Company (corresponding to 29.728% of the shares and voting rights), and (b) Saga Pure ASA, which is (i) 35.870% owned by Tycoon Industrier AS (which again is 100% owned by Ferncliff TIH AS, which again is 100% owned by Ferncliff Holding AS), and (ii) (up to today) 30.066% owned by Øystein Stray Spetalen; which owns 306,096,939 shares in the Company (corresponding to 58.362% of the shares and voting rights in the Company); as equal (50/50) gifts to Sss AS and Jss Capital Management AS, owned by Sophie Stray Spetalen and Jenny Stray Spetalen, respectively.

Following the gifts made 1 September,

(*) Øystein Stray Spetalen owns (directly and indirectly) zero shares and voting rights in the Company, and

(*) Ferncliff Holding AS owns (directly and indirectly) 155,918,109 shares in the Company (corresponding to 29.728% of the shares and voting rights in the Company).
