Grant of share options under the ScS Group plc Long-Term Incentive Plan

ScS Group plc ("the Company") announces that on 10 April 2015 2015 (the "Award Date") it granted nil-cost options over ordinary shares of o.1p in the Company ("Awards" and "Shares") to two directors and four PDMRs under the ScS Group plc Long-Term Incentive Plan, details of which are set out below:

No payment was required for the grant of the Awards.

The Awards will become exercisable on the 3rd anniversary of the Company's admission to the Official List of the UK Listing Authority and to trading on the London Stock Exchange plc's main market for listed securities (together, "Admission") and remain exercisable up to and including the 10th anniversary of Admission, to the extent that the performance target applicable to the Awards has been met. The performance target is based on growth in the earnings per share of the Company from Admission to the end of the 2017 financial year.

Following the grant of the Awards, the individuals listed above hold share options over the following numbers of Shares:
