Dear Shareholder

NOTICE OF EXTRAORDINARY GENERAL MEETING AND PROXY FORM

Scorpion Minerals Ltd (ASX:SCN) ( Scorpion or Company ) is convening an Extraordinary General Meeting of the Company ( Meeting ) to be held at 2:00pm AWST on Thursday 17 April 2025 at Level 2, 50 Kings Park Rd, West Perth WA 6005.

In accordance with recent amendments to the Corporations Act 2001 (Cth), the Company will not be dispatching physical copies of the Notice of Meeting ( Notice ) unless specifically requested to do so. Instead, the Notice is being made available to shareholders electronically and can be viewed and downloaded online at the Company’s website at scorpionminerals.com.au. The Notice will also be posted on the Company’s ASX market announcements page at asx.com.au. Shareholders are encouraged to complete and lodge their proxies online or otherwise in accordance with the instructions set out in the proxy form and the Notice.

All resolutions in the Notice will be voted upon by poll. If you wish to vote on any of the resolutions identified in the Notice, you must vote online or attend the Meeting in person or by proxy. If you do not wish to vote at the Meeting, you are encouraged to appoint the Chair as proxy prior to the Meeting. A copy of your personalised proxy form is enclosed for your convenience. Your proxy voting instructions must be received by 2:00pm (AWST) on Tuesday 15 April 2025, being not less than 48 hours before the commencement of the Meeting. Any proxy voting instructions received after that time will not be valid for the Meeting. The Company strongly encourages shareholders to lodge a directed proxy form.

Should the arrangements for the Meeting change, the Company will update shareholders by way of announcement on ASX and the details will also be made available on the Company’s website at scorpionminerals.com.au.
