Notification of Transactions by Persons Discharging Managerial Responsibility and Connected Persons

In accordance with Rule 3.1.2R of the Disclosure and Transparency Rules, Schroders plc was notified on 15 December 2014 of certain transactions by a Person Discharging Managerial Responsibilities in the shares or rights to shares of the Company.  In compliance with Rule 3.1.4R of the Disclosure and Transparency Rules, Schroders plc notifies the market of the following transactions:

Philip Mallinckrodt exercised his 2005 Employee Compensation Plan Award and his 2010 Long Term Incentive Plan Award granted over 41,810 and 28,382 Non-voting Ordinary shares respectively.  Both awards were granted at nil cost.

Subsequent to the exercises, 33,090 of these shares were sold at £20.2022 per share to cover tax and dealing costs.  The balance of 37,102 shares was retained.  All transactions were undertaken in London.
