(b) On October 30, 2015, Katrina Lane, a director of the Registrant, resigned as a director following her joining Amazon.com, Inc. (“Amazon”) in a senior management position. In order to avoid any issues which might arise due to the nature of the respective businesses of the Registrant and Amazon, the Board determined it appropriate to accept her resignation.
