CLARIFICATION ANNOUNCEMENT IN RELATION TO GRANT OF SHARE OPTIONS

Reference is made to the announcement of Scholar Education Group (the ‘‘Company’’) published on 28 February 2024 (the ‘‘Announcement’’) in relation to the grant of Options. Unless otherwise specified, capitalised terms used in this announcement shall have the same meanings as those defined in the Announcement.

The Company wishes to clarify that, in the Announcement, the ‘‘Exercise period’’ as set out in the details of the Options granted should read as follows:

‘‘Options that have vested may be exercised at any time for a period of two years from the vesting date, and all outstanding or unexercised Options shall lapse after 15 April 2028.’’

This clarification announcement is supplemental to and should be read in conjunction with the Announcement. Save for the above clarification, all the information in the Announcement remains unchanged.
