2017 Annual General Meeting; approval of all the resolutions supported by the board of directors

The Schneider Electric SE ordinary and extraordinary general meeting was held on April 25, 2017, chaired by Jean-Pascal Tricoire. Representing a quorum of 68.96%, the shareholders adopted all the resolutions supported by the board of directors, notably those including:
- Approval of the consolidated and corporate accounts for 2016 and distribution of a dividend of 2.04€ per share for 2016
- A favorable opinion on compensation for 2016 and approval of the 2017 compensation policy for the corporate executive officers, Mr. Tricoire in his capacity of Chairman and CEO and Mr. Babeau in his capacity of Deputy CEO
- Renewal of Jean-Pascal Tricoire's term of office
- Appointment of Mrs. Xiaoyun Ma as the director representing employee shareholders
- Renewal of financial authorizations
The Annual General Meeting was also the occasion for Jean-Pascal Tricoire, Chairman and CEO, Emmanuel Babeau, Deputy CEO in charge of finance and legal affairs and Léo Apotheker, Vicechairman and independent lead director, to comment the Group's 2016 results to the 600 participants, together with Group's strategy, governance and future perspectives.
Jean-Pascal Tricoire reviewed the key elements that have marked 2016, notably deployment of Schneider Electric strategy in the Internet of Things. Going further, he explained the Group's priority areas of growth: more products, services and software, and better systems. For products, growth relies on an unparalleled network of partners, innovation at the service of customers and a multi-channel marketing strategy, whilst the Group has deployed its IoT platform known as EcoStruxure via solutions. Giving the modernization project of Europe's largest sewage treatment station as an example, Jean-Pascal Tricoire demonstrated how Schneider Electric technology brings customers more added value. Given also the expected improvement in the macro-economic environment, the positioning of Schneider Electric as a leader on energy efficiency and automation technologies offers good growth perspectives, which, associated to initiatives to increase further profitability, will provide shareholders with attractive returns.
Emmanuel Babeau presented in detail the Group's solid performance in 2016 and highlighted that all the main financial objectives of the year had been reached. The recovery in revenues during the first quarter of 2017 reflects the upturn in most of the end markets, in line with the Group's perspectives for 2017 announced on February 16. Emmanuel Babeau also presented the Group's extra-financial performance as well as the "Access to energy" program, which is fully consistent with the Group's vocation for providing energy to everyone, everywhere and at any time.
Léo Apotheker reaffirmed the Group's principles of governance and summarized the work carried out by the board of directors and its four study committees, stressing the high level of commitment of each and every director as well as their professionalism. Going further, he presented the main resolutions on the agenda and detailed more particularly the corporate executive officers' compensation policy.
