Sub: Intimation regarding approval of Postal Ballot Notice and related matters by Board of Directors

We refer to our letter no. SEIL/Sec./SE/2022-23/10 dated May 21, 2022 wherein, interalia, we intimated about the Board’s approval on below matters:

a) Appointment of Mr. Pravin Kumar Purang (DIN: 02533080) as an Additional NonExecutive Independent Director of the Company w.e.f. May 21, 2022 for a term of 3 years and continuation of his directorship after attaining the age of seventy-five (75) years.
b) Re-appointment of Ms. Namrata Kaul (DIN: 00994532) as a Non-Executive Independent Director of the Company for a second and final term of 3 years w.e.f. November 6, 2022 i.e. immediately after the completion of her first term on November 5, 2022.

In this regard, it is hereby informed that the Board of Directors through Resolution passed by Circulation today, i.e. June 21, 2022 approved the Notice of Postal Ballot for seeking approval of the shareholders for the afore stated matters.

The Cut-off Date for sending the Notice of Postal Ballot to the shareholders and for the purpose of reckoning their voting rights is Friday, June 24, 2022 and the date of completion of dispatch of Notice of Postal Ballot shall be on or before June 28, 2022.

The Notice of Postal Ballot shall be sent only through e-mails to all the shareholders who have registered their email ids with the Company/Depository Participants (DPs)/ Company’s Registrars and Share Transfer Agents, in compliance with the General Circular No. 17/2020 and 03/2022 dated April 13, 2020 and May 5, 2022 respectively, issued by the Ministry of Corporate Affairs, Government of India.

The Company has engaged the services of National Securities Depository Limited (NSDL) to provide to all its members (holding shares both in physical and in electronic form), the facility to exercise their vote for the Postal Ballot through the electronic voting (e-voting). The e-voting for Postal Ballot commences on Monday, July 4, 2022 @ 09:00 a.m. and ends on Tuesday, August 2, 2022 @ 05:00 p.m.

The results of postal ballot will be declared on or before Thursday, August 4, 2022.
