Scatec Solar ASA: Disclosure of large shareholdings

Oslo, 24 March 2017: Scatec Solar ASA (OSE: SSO)

Reference is made to the stock exchange release made public by Scatec Solar ASA

on 24 March 2017 at 08:00, regarding completion of a private placement of

shares.

As a result of the issuance of new shares in the private placement, Scatec AS

shareholding in Scatec Solar ASA has fallen below the ownership threshold of

20%. After the transaction, Scatec AS will own 19,482,339 shares in Scatec Solar

ASA, representing approx. 18.88% of the total issued and outstanding shares.

This notification is based on the share capital of Scatec Solar ASA after

completion of the private placement being NOK 2,579,905.75 divided on

103,196,230 shares.
