Scatec Solar ASA: Exercise of employee share options

Oslo, February 6, 2018: Reference is made to the stock exchange notice dated

February 5, 2018 regarding exercise of employee share options.

Upon option exercise, all primary insiders have at minimum utilized the after-

tax gain from the option program to buy new shares. This implies that some

shares are sold to fund the tax on the options gain before the net gain is

utilized to purchase new shares. The payment per share has been determined based

on a volume weighted average share price of NOK 43.5716.

Raymond Carlsen purchased 12,626 shares at a price of NOK 43.5716

Terje Pilskog purchased 8,459 shares at a price of NOK 43.5716

Roar Haugland has purchased 4,527 shares at a price of NOK 43.5716

Mikkel Tørud has purchased 5,500 shares at a price of NOK 43.5716

Torstein Berntsen has purchased 5,000 shares at a price of NOK 43.5716

Snorre Valdimarsson has purchased 4,527 shares at a price of NOK 43.5716

(ii) 77,551 unexercised options at a strike price of NOK 28.86, (iii) 76,098

51,959 unexercised options at a strike price of NOK 28.86, (iii) 48,601

(ii) 49,272 unexercised options at a strike price of NOK 28.86, (iii) 46,090

unexercised options at a strike price of NOK 48.43. Together with related

parties, Berntsen holds a total of 683,504 shares in Scatec Solar.

Snorre Valdimarsson holds (i) 4,747 shares in Scatec Solar, (ii) 44,841

unexercised options at a strike price of NOK 28.86, (iii) 43,579 unexercised

options at a strike price of NOK 48.43.
